These Terms and Conditions apply to the LoopCut app for iPad, together with any related services operated by Sugarfaye & Xueke (collectively, the "Application"). Sugarfaye & Xueke is hereby referred to as the "Service Provider".
By downloading or using the Application, you agree to these Terms and Conditions. Please read them carefully before using the Application.
Subject to your compliance with these Terms, the Service Provider grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Application on a device you own or control, for personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works from, reverse engineer, decompile, or disassemble the Application, except as and only to the extent that such activity is expressly permitted by applicable law.
By accessing and using this Application, you represent that you are legally permitted to use it in your jurisdiction. You must be at least 16 years of age, or the age of digital consent in your jurisdiction, to use the Application. If you are below that age, a parent or legal guardian must review and accept these Terms on your behalf.
The Service Provider retains all intellectual property rights in the Application, including its code, design, trademarks, service marks, trade names, logos, and branding (the "IP"). Nothing in these Terms grants you any license or right to use the Service Provider's trademarks, logos, or branding for any purpose. You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary notices displayed in or on the Application.
Unauthorized copying or modification of the Application, any part of the Application, or the Service Provider's trademarks is strictly prohibited. Any attempt to extract the source code of the Application, translate the Application into other languages, or create derivative versions is not permitted.
The Application processes audio and video files that you choose to import, and produces a finished video from them. The Service Provider claims no ownership of, and acquires no license to, your source media or your exported videos. Your files are processed locally on your device and are not uploaded to the Service Provider. You may use the videos you export however you wish, subject to the rights described below.
You are responsible for having the rights to the media you use. Music, video clips, and any other material you import may be protected by copyright or other rights held by third parties. You represent and warrant that you own, license, or are otherwise legally permitted to use every file you import, and to use the resulting exported video for your intended purpose, including any publication, broadcast, or commercial use. The Service Provider does not clear rights on your behalf and is not responsible for your use of material you are not entitled to use.
All editing and export features of the Application are available free of charge. Videos exported without the in-app purchase carry a small LoopCut watermark.
The Application offers a single non-consumable in-app purchase that permanently removes that watermark from future exports. This is a one-time purchase, not a subscription; there is no recurring charge. The purchase is tied to your Apple Account and can be restored on your other devices using the "Restore Purchase" option in the Application.
Purchases are processed by Apple through the App Store and are subject to Apple's terms. Refunds are handled by Apple in accordance with its refund policy; the Service Provider cannot issue refunds directly. The Service Provider may change the price of the in-app purchase for future purchases; a change in price does not affect a purchase you have already made.
The Application does not host, publish, or share content, and provides no social, community, or upload features. You agree not to use the Application:
What you do with an exported video after it leaves the Application is your responsibility.
Exporting a long video requires processing time and free storage space on your device. The Application shows an estimated file size before you export, but actual size and duration depend on your source media and settings. It is your responsibility to ensure your device has sufficient free space and battery to complete an export, and to keep backups of media that matters to you. The Service Provider is not responsible for an export that fails or is interrupted because a device ran out of storage, ran out of battery, or was interrupted by the operating system.
It is your responsibility to maintain the security of your device and access to the Application. The Service Provider strongly advises against jailbreaking your device, which involves removing software restrictions imposed by the official operating system. Such actions could expose your device to malware, compromise its security features, and may result in the Application not functioning correctly or at all.
The Application contains no third-party advertising networks and no third-party analytics or tracking SDKs. Handling of data is described in the Privacy Policy.
The Application's editing and export features work fully offline. An internet connection is required only to complete or restore an in-app purchase through the App Store. If you use the Application outside a Wi-Fi area, your mobile network provider's agreement terms still apply, and you may incur data charges, including roaming charges. If you are not the bill payer for the device, the Service Provider assumes you have obtained the bill payer's permission.
The Service Provider is dedicated to making the Application as useful and efficient as possible, and reserves the right to modify the Application, or to introduce charges for new services, at any time. Any charges for the Application or its services will be clearly communicated to you before they apply.
The Service Provider may update the Application from time to time. Operating system requirements may change, and you may need to install updates to continue using the Application. The Service Provider does not guarantee that it will always update the Application to remain compatible with the version of the operating system installed on your device. You should accept updates when offered; if you choose not to, the Service Provider may cease to support earlier versions and the Application may not function properly. The Service Provider may also cease providing the Application at any time. Upon any such termination, the rights and licenses granted to you in these Terms will end and you must cease using the Application and, if necessary, delete it from your device. Videos you have already exported remain yours.
The Service Provider may suspend your access to the Application or related services if you materially breach these Terms. The Service Provider will provide you with written notice of the breach and, where the breach is capable of cure, you will have 14 days from receipt of notice to remedy it. If you fail to cure the breach within that period, the Service Provider may terminate your access.
The Service Provider may suspend or terminate your access immediately without notice if you violate applicable law, infringe intellectual property rights, or engage in activity that could cause harm to the Service Provider or to others.
Upon termination, your right to use the Application will end and you must delete all copies from your devices.
Nothing in these Terms limits any rights you have under applicable consumer protection laws that cannot lawfully be excluded.
To the fullest extent permitted by law, the Service Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, data loss, or business interruption, even if advised of the possibility of such damages.
However, the Service Provider retains full liability for:
To the fullest extent permitted by law, the total liability of the Service Provider for any claim shall not exceed the amount you paid for the Application and its in-app purchase in the 12 months preceding the claim, or the minimum amount that must be paid under applicable law, whichever is greater.
To the fullest extent permitted by law, you agree to indemnify and hold harmless the Service Provider, its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or directly related to your breach of these Terms, your intentional misuse of the Application, or your use of media you were not entitled to use.
This indemnification does not apply to claims arising from the Service Provider's own negligence, breach of these Terms, or violation of applicable law. In jurisdictions where consumer indemnification is restricted by law, this clause shall be limited to the maximum extent permitted.
These Terms and Conditions are governed by the laws of the jurisdiction in which the Service Provider is established, excluding conflict of law rules, except to the extent mandatory consumer protection laws provide otherwise.
Any dispute arising out of or relating to these Terms will be brought before the courts that have jurisdiction under applicable law. Nothing in this clause limits any right you may have to bring a claim in a court that is competent under mandatory law.
The Application is a standalone editing tool. It does not host, transmit, or store content provided by users, and therefore does not operate as an intermediary service under Regulation (EU) 2022/2065 (the Digital Services Act). The Service Provider nevertheless maintains a single point of contact for direct communication with users and with authorities, reachable at [email protected].
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
These Terms and Conditions, together with the Privacy Policy, constitute the entire agreement between you and the Service Provider concerning your use of the Application, superseding any prior agreements or understandings.
The Service Provider may periodically update these Terms and Conditions. You are advised to review this page regularly for any changes. The Service Provider will notify you of any changes by posting the new Terms and Conditions on this page with a new effective date. Previous versions will be maintained and made available upon request at [email protected].
If you have any questions or suggestions about these Terms and Conditions, please contact the Service Provider at [email protected].
